| Memorandum
of Agreement |

This agreement
between DECA Inc. (the association) and *
* (the company)
on *
* (date) grants the company permission to
sell above (aforementioned) products to DECA School-based
Enterprises on DECA's School-based Enterprise
Merchandise Mart. The company takes sole responsibility
for all products listed above and agrees to deliver
products at the prices listed, in good condition,
and in a reasonable amount of time. All company
sales are made on a direct basis to DECA school-based
enterprises. Terms of sale, credit, invoicing,
returns, shipping, packaging and packing, and
all commercial arrangements will be negotiated
and agreed to by the company and the local School-based
Enterprise. The association assumes no responsibility
other than listing the company on the Web site.
The association agrees to list the company on
DECA's School-based Enterprise Merchandise Mart.
The association cannot guarantee placement of
the company name, product, or logo on the Web
site. The company agrees to pay the association
royalties ( in the amount of
% of total sales) on or before June 31 and Dec
31 of current year.
The terms of this agreement will remain in force
until such time as the association or the company
submit in writing their intent to break said contract.
DECA Inc. reserves the right to remove all materials
having to do with the company at any time due
to offensive material, negligence, or failure
to carry out the terms of the contract. DECA Inc.
reserves the right to approve the companies that
are listed on the Web site. DECA Inc. cannot contract
with companies promoting the sale of alcohol,
tobacco, firearms, sexually explicit materials,
travel agencies or what the association may deem
otherwise offensive or not in the best interest
of the association.
This agreement does not in any way relinquish
the association's ownership or control of the
DECA and School-based Enterprise name and logo.
In the event of termination of this Agreement,
the company agrees to stop and desist from the
unauthorized us of any DECA affiliation.
